Item 5.           Other Items.

On September 16, 2002, Qwest Communications International Inc. ("Qwest")
announced that Hank Brown had resigned as a member of its Board of Directors. A
copy of the press release announcing the resignation is attached as Exhibit 99.1
to this Current Report on Form 8-K.

Qwest does not expect to fill the vacancy created by Mr. Brown's resignation.
