Item 5.02. Departure of Directors or Principal Officers; Election of Directors;
Appointment of Principal Officers
Effective December 15, 2004, the Board of Directors of Barrett
Business Services, Inc. (the "Company"), elected Jon L. Justesen, co-owner of
Justesen Ranches in eastern Oregon, as a director of the Company. There is no
arrangement or understanding between Mr. Justesen and any other person relating
to his election as a director. At the time of this report, there are no plans to
appoint Mr. Justesen to any committee of the Board of Directors.
