On October 30, 2018, Doug Lawler, the Chief Executive Officer of Chesapeake Energy Corporation (“Chesapeake”) sent an email to Chesapeake employees, which contained the following:



Dear Colleagues,

This morning we announced that Chesapeake has entered into an agreement to acquire WildHorse Resource Development Corporation (NYSE:WRD) for $3.977 billion payable in Chesapeake stock and cash.

As part of the transaction, WildHorse shareholders will elect to receive either 5.989 shares of Chesapeake common stock or a combination of either 5.336 shares of Chesapeake common stock and $3 in cash, in exchange for each share of WildHorse common stock.

I firmly believe this transaction marks an inflection point in our hard-fought transformation. The addition of WildHorse to our portfolio accelerates the achievement of our Blue Chips and fundamentally makes Chesapeake a more competitive company and compelling investment story.  When combined with our already diverse and strong asset base, WildHorse adds premier Eagle Ford inventory to our portfolio at an attractive valuation, expands our oil-growth platform - which will accelerate cash flow generation - and materially improves our margins and financial profile.

As we share in the attached press release, following this transaction, by 2020 we expect to:
Double our oil production
Improve our oil mix ~60%
Increase our EBIDTA per boe margin ~50%
Accelerate our deleveraging efforts ~35%
