The Company is considering a joint venture involving its South Haven facility. The Company has not completed the impairment analysis related to entering into the joint venture. In light of the need to complete that analysis, the Company is not able to file its Quarterly Report on Form 10-Q for the fiscal Quarter ending September 25, 2004, without unreasonable effort and expense. The Company believes that until the analysis is complete, the Companys disclosures required by Form 10-Q would be incomplete or misleading.
The Company intends to file the subject Quarterly Report on Form 10-Q no later than November 15, 2004, the first business day after the fifth calendar day (Sunday, November 14) after the due date of this report.
