Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On March 15, 2018, Mr. Arnaud Ajdler notified StarTek, Inc. (the “Company”) that he will resign as a member of the Company’s board of directors, effective immediately. Mr. Ajdler was a member of the Governance and Nominating Committee and the Compensation Committee of the Company’s board of directors.
Mr. Ajdler’s resignation was not due to any disagreement with the Company or the Company’s management. In connection with his resignation, Mr. Ajdler sent the following email to the Company’s board of directors:
“Dear Board members:
After almost three years on the Board and following the announcement of the merger between Startek and Aegis, I have decided it is the right time for me to step down and relinquish my duties as a member of the Board in order to focus on my other commitments and responsibilities at Engine Capital. I have truly enjoyed working with each of you. I am particularity grateful for all the accomplishments Chad and his management team have made over the last few years - growing and diversifying the business, and increasing its profitability. This merger with Aegis (which I am very excited about) is the next logical step for Startek as it further diversifies the business and puts it on a path of sustainable and profitable growth.
