(1) Represents a disposition by the Reporting Person, in his capacity as co-executor of the Estate of Harvey Houtkin, to the estate beneficiary pursuant to the last will of the decedent, Harvey Houtkin.
(2) Represents acquisition by the Reporting Person of beneficial ownership of these securities as a bequest pursuant to the last will of the decedent, Harvey Houtkin. The Reporting Person disclaims beneficial ownership of these securities except to the extent that he has a pecuniary interest in such securities (the Reporting Person has only a remainder interest in the securities held by the Airmont Trust).
