Item 1.01.     Entry Into A Material Definitive Agreement.

 

On July 24, 2009, Force Protection, Inc. (“Force Protection”) was awarded through its wholly-owned subsidiary, Force Protection Industries, Inc., a contract modification under its contract W56HZV-08-C-0028 with the U.S. Army Tank-automotive and Armaments Command (“U.S. TACOM”) for the provision of 48 Buffalo Mine Protected Clearance Vehicles.  The total consideration under this contract modification is approximately $52.8 million. The contract modification is subject to definitization.  The award was made pursuant to a contract between Force Protection Industries, Inc. and the U.S. TACOM dated November 2, 2007 for the provision of vehicles.

 

On July 27, 2009, Force Protection exercised its option to renew and extend the term of a property lease pursuant to the Third Amendment to Lease for property known as Building No. 3 located in Ladson, South Carolina (the “Lease”), by and among Force Protection, Force Protection Industries, Inc., and Aerospace/Defense, Inc. The Lease is effective June 1, 2009 and expires June 30, 2014. This Lease enables Force Protection to continue production of the Buffalo vehicles.

 

Item 8.01.     Other Events.

 

On July 28, 2009, Force Protection issued a press release announcing the July 24, 2009 contract modification from the U.S. TACOM.  A copy of the press release issued on July 28, 2009 is attached as Exhibit 99.1 to this Current Report on Form 8-K and incorporated herein by reference.
