Item 2.02. Results of Operations and Financial Condition.
Ultralife Batteries, Inc. (the "Company") announced that, based on a preliminary
review of results for the fourth quarter ended December 31, 2006, the Company
expects to report an operating loss of approximately $1.5 million on revenue in
the range of $30.0 million to $30.5 million.
The Company's press release is attached as Exhibit 99.1 to this Form 8-K. The
information set forth in this Form 8-K and the attached exhibit is being
