Item 1.01 Entry into a Material Definitive Agreement

On March 30, 2007, Korn/Ferry International (the “Company”) renewed its employment agreement with Gary D. Burnison, the Company’s Chief Operating Officer, Chief Financial Officer and Executive Vice President. Under Mr. Burnison’s prior employment agreement, dated October 1, 2003 (the “Employment Agreement”), the initial term of Mr. Burnison’s employment was to continue until April 30, 2007. The Employment Agreement was renewed to extend the initial term of Mr. Burnison’s employment until April 30, 2008.
