| Item 1.01 | Entry into a Material Definitive Agreement. |
On May 2, 2008, Mannatech, Incorporated entered into a three year Supply Agreement with Improve U.S.A., Inc., with an automatic extension of an additional two years. Pursuant to this agreement, Mannatech agreed to pay Improve a total of approximately $12.8 million to purchase a minimum monthly quantity of an aloe vera powder blend during the initial term of the agreement. A copy of this agreement is attached as Exhibit 99.1 to this Form 8-K.
