(d) As reported on a Current Report on Form 8-K filed with the Securities and Exchange Commission on November 3, 2017, the stockholders of Western Digital Corporation (the Company) voted to approve, on an advisory basis, holding future advisory votes on named executive officer compensation every year as described in the proxy statement for the Companys 2017 annual meeting of stockholders. The Company will include an advisory vote on the compensation paid to the Companys named executive officers in its proxy materials every year until the next vote on the frequency of future advisory votes on executive compensation.
