(“CLNE”) in its most recent Quarterly Report on Form 10-Q filed May 7, 2012; (ii) 3,190,268 shares of Common Stock that may be issued upon conversion of $50,000,000 aggregate principal amount, together with accrued and unpaid interest to May 10, 2012, of CLNE’s 7.50% convertible promissory notes (the “Convertible Notes”) that were issued to Chesapeake NG Ventures Corporation, an Oklahoma Corporation and a wholly owned subsidiary of Chesapeake Energy Corporation, on July 11, 2011; and (iii) 3,164,556 shares of Common Stock that may be issued upon conversion of $50,000,000 aggregate principal amount of the Convertible Notes that Chesapeake NG Ventures Corporation has agreed to acquire on June 29, 2012.

This Schedule 13G is filed by Chesapeake Energy Corporation, an Oklahoma corporation (“Chesapeake”).

Chesapeake’s principal executive offices are located at 6100 North Western Avenue, Oklahoma City, Oklahoma 73118.
Chesapeake is a corporation organized under the laws of the state of Oklahoma.

This Schedule 13G relates to the common stock (the “Common Stock”) of Clean Energy Fuels Corp.

Chesapeake beneficially owns an aggregate of 7,354,824 shares of Common Stock, consisting of (i) 1,000,000 shares of Common Stock; (ii) 3,190,268 shares of Common Stock that may be issued upon conversion of $50,000,000 aggregate principal amount, together with accrued and unpaid interest to May 10, 2012, of CLNE’s 7.50% convertible promissory notes (the “Convertible Notes”) that were issued to Chesapeake NG Ventures Corporation, an Oklahoma Corporation and a wholly owned subsidiary of Chesapeake (“CNGV”), on July 11, 2011; and (iii) 3,164,556 shares of Common Stock that may be issued upon conversion of $50,000,000 aggregate principal amount of the Convertible Notes that CNGV has agreed to acquire on June 29, 2012.
Chesapeake beneficially owns an aggregate of 7.91% of CLNE’s outstanding Common Stock calculated based on the following: (i) 1,000,000 shares of Common Stock, representing 1.07% of CLNE’s outstanding Common Stock; (ii) 3,190,268 shares of Common Stock that may be issued upon conversion of $50,000,000 aggregate principal amount, together with accrued and unpaid interest to May 10, 2012, of the Convertible Notes that were issued to CNGV on July 11, 2011, representing 3.43% of CLNE’s outstanding Common Stock if converted; and (iii) 3,164,556 shares of Common Stock that may be issued upon conversion of $50,000,000 aggregate principal amount of the Convertible Notes that CNGV has agreed to acquire on June 29, 2012, representing 3.40% of CLNE’s outstanding Common Stock if converted.
All percentage calculations in this Schedule 13G are based upon 92,943,722 shares of Common Stock outstanding and deemed to be outstanding, which is the sum of (i) 86,588,898 shares of Common Stock issued and outstanding as of May 1, 2012, as reported by CLNE in its most recent Quarterly Report on Form 10-Q filed May 7, 2012; (ii) 3,190,268 shares of Common Stock that may be issued upon conversion of $50,000,000 aggregate principal amount, together with accrued and unpaid interest to May 10, 2012, of the Convertible Notes that were issued to CNGV on July 11, 2011; and (iii) 3,164,556 shares of Common Stock that may be issued upon conversion of $50,000,000 aggregate principal amount of the Convertible Notes that CNGV has agreed to acquire on June 29, 2012.
