Entry into a Material Definitive Agreement. |
On April 5, 2005, Shoe Carnival, Inc. entered into the Sixth Amendment to Amended and Restated Credit Agreement and Notes. The Agreement is between Shoe Carnival, Inc., as borrower, and:
U.S. Bank National Association
Wachovia Bank, National Association
Fifth Third Bank (Southern Indiana)
Old National Bank
U.S. Bank acts in the capacity of an agent for all of the above banks.
The primary purpose of the Amendment is to extend the term from March 31, 2006 to April 30, 2007. The Amendment also makes changes to the mechanics of cash borrowing, and further defines certain key terms.
