Item 1.01 Entry into a Material Definitive Agreement.
Item 2.03 Creation of a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement of a Registrant.
On December 9, 2009, Clark County, Nevada issued, for the benefit of Southwest Gas Corporation, $50 million in JPMorgan Chase Bank letter of credit enhanced variable-rate Industrial Development Revenue Bonds (“IDRBs”) (Southwest Gas Corporation Project) Series 2009A pursuant to a financing agreement
and indenture. The Series 2009A IDRBs were issued at par and are due December 1, 2039.
The IDRBs are being issued to finance all or a portion of the cost of the acquisition, construction, and installation of projects consisting of the upgrade, improvement, addition, and replacement of facilities for local furnishing of natural gas in Clark County, Nevada.
