Dow Chemical Company Analyst Notes
On May 27, 2014, the Fluor Corporation was awarded an engineering, procurement, and construction (EPC) contract by the Dow Chemical Company (Dow) for its Reverse Osmosis (RO) manufacturing facility in the Kingdom of Saudi Arabia. The facility, which is Dow's first facility of its kind built outside United States, is expected to be completed by end of 2015, and will locally manufacture high-tech RO elements that purify water for drinking and industrial uses. Dow informed that the facility will supply the local Saudi Arabian market as well as the wider Middle East and Africa (MEA) region and other markets with similar critical water needs, such as Eastern Europe, India, China, and South East Asia. Dow stated that the facility is expected to bring more cost effective water treatment solutions and alleviate Saudi Arabia's water scarcity. PetroLogistics LP Analyst Notes
On May 28, 2014, PetroLogistics LP (PetroLogistics), announced that the Company together with its general partner, PetroLogistics GP LLC, have entered into a definitive agreement to be acquired by Flint Hills Resources, LLC, a subsidiary of Koch Industries, Inc. Under the terms of the acquisition agreement, barring a few common units, Flint Hills Resources will acquire all of PetroLogistics' outstanding common units for $14.00 per common unit in cash. Further, PetroLogistics expects to continue making distributions consistent with its historical distribution policy through the closing date of the transaction. It will also make a final, one-time cash distribution subject to an additional reserve of approximately $12.3 million to cover transaction related costs. The all-cash transaction is valued at approximately $2.1 billion and is expected to complete before year end 2014, subject to customary closing conditions and regulatory approvals. Peabody Energy Corp. Analyst Notes
On May 28, 2014, Peabody Energy Corp. (Peabody) announced that it has begun soliciting consents from holders of its 4.75% Convertible Junior Subordinated Debentures due 2066 to amend the related indenture. For adopting the proposed amendments, the Company said that it must obtain consents from holders of a majority in aggregate principal amount of outstanding convertible debentures (excluding any convertible debentures owned by Peabody or any of its affiliates). Holders of the convertible debentures who validly consent to the proposed amendments on or prior to 5:00 p.m. New York time on June 10, 2014 will be eligible to recieve a consent fee of $2.50 per $1,000 principal amount of convertible debentures for which consents are received (and not validly revoked) on or prior to the expiration time. BHP Billiton Limited Analyst Notes
On May 23, 2014, BHP Billiton Limited (BHP Billiton) donated $250,000 to the American Red Cross to alleviate devastation caused by recent tornadoes in Arkansas. In addition to the donation, the Company will also contribute two dollars for ever one dollar donated by an employee.
