ScottsMiracle-Gro Announces Results of Annual Shareholders Meeting

MARYSVILLE, Ohio, Jan. 22 /PRNewswire-FirstCall/ -- Shareholders of The Scotts Miracle-Gro Company (NYSE: SMG), the world's largest marketer of branded consumer lawn and garden products, today re-elected three members of its Board of Directors for a term that expires in 2012.

Re-elected to the Board during the Company's Annual Meeting of Shareholders were Thomas N. Kelly Jr., former executive vice president of Sprint Nextel Corporation; Carl F. Kohrt, former president and chief executive officer of Battelle Memorial Institute; and John S. Shiely, chairman and chief executive officer of Briggs & Stratton Corporation.

Shareholders also ratified the Audit Committee's selection of Deloitte & Touche LLP as the Company's independent registered public accounting firm for the fiscal year ending on September 30, 2009.

During the annual meeting, Jim Hagedorn, chairman and chief executive officer, told shareholders he remains confident in the Company's prospects for 2009 and that retailers remain supportive of the lawn and garden category. He also said that ScottsMiracle-Gro will provide private label lawn and garden products to some U.S. retailers in 2009, which will result in incremental sales volume. The Company will provide more details on this development, as well as its full-year outlook, during its Analyst Day meeting February 3, 2009 in New York. The Company will issue its first quarter results that same day.
