Blackboxstocks Inc. Announces Pricing of $12 Million Upsized Public Offering and Concurrent Uplisting to the Nasdaq Capital Market

Common Shares will Continue to Trade under Ticker “BLBX”

Blackboxstocks, Inc. (Nasdaq: BLBX) (“Blackbox” or the “Company”), a financial technology and social media hybrid platform offering real-time proprietary analytics for stock and options traders of all levels, today announced the pricing of an underwritten public offering of 2,400,000 shares of common stock at a price to the public of $5.00 per share.

The aggregate gross proceeds to Blackbox from the public offering are expected to be $12 million, before deducting underwriting discounts, commissions, and other estimated offering expenses. Blackbox has granted the underwriters a 45-day option to purchase up to an additional 360,000 shares of common stock at the public offering price in the amount of $1.8 million, less commissions and underwriting discounts. The offering is expected to close on November 12, 2021, subject to customary closing conditions.

Alexander Capital, L.P. acted as the lead book-running manager and Revere Securities, LLC acted as lead manager for the offering.

Blackbox is also pleased to announce it has received approval to list its common stock on the Nasdaq Capital Market® (“Nasdaq”), effective November 10, 2021. The Company’s common stock will now trade on Nasdaq under its same ticker symbol, “BLBX”.

All shares in the offering are being sold by the Company. Blackbox intends to use the net proceeds from the public offering to further develop the Blackbox System platform, expand product offerings, fund marketing efforts to grow the Company’s subscriber base, as well as for general and administrative expenses and other general corporate purposes.

The offering is being made only by means of a (i) prospectus forming a part of the registration statement on Form S-1, as amended (File No. 333- 260065), which was initially filed with the Securities and Exchange Commission (the “SEC”) on October 5, 2021 and declared effective on November 9, 2021, and (ii) a registration statement on Form S-1MEF which was filed with the SEC on November 10, 2021 and became effective on such date.
