ProFrac Holding Corp. Announces Pricing of Public Offering of Class A Common Stock

ProFrac Holding Corp. (NASDAQ: ACDC) (“ProFrac” or the “Company”) today announced the pricing of its previously announced underwritten public offering of 18,750,000 shares of its Class A common stock (the “Offering”) at a price to the public of $4.00 per share, for gross proceeds of approximately $75.0 million before deducting the underwriting discount and other estimated offering expenses.

The Company has granted the underwriters a 30-day option to purchase up to an additional $11,250,000 of its Class A common stock. The Offering is expected to close on or about August 14, 2025, subject to customary closing conditions.

The Company intends to use the net proceeds from the Offering to repay borrowings outstanding under the Company’s senior secured asset-based revolving credit agreement, to pursue potential investment opportunities and for working capital and other general corporate purposes.

J.P. Morgan Securities LLC and Piper Sandler & Co. are acting as joint book-running managers for the Offering.
