Iron Mountain Incorporated Upsizes and Prices Debt Offering

Iron Mountain Incorporated (NYSE: IRM) (the "Company"), a global leader in information management services, today announced that it has priced an upsized offering of a total of €1.2 billion aggregate principal amount of its 4.75% Senior Notes due 2034 (the “Notes”). This represents an increase of €450.0 million in the combined aggregate principal amount of the Notes, from the previously announced amount of €750.0 million. The Notes will be fully and unconditionally guaranteed by the Company’s subsidiaries that are obligors under each series of its existing notes. The Company intends to use the net proceeds from the offering of the Notes to redeem all of the outstanding 3.875% GBP Senior Notes due 2025 (the “2025 GBP Senior Notes”) and for general corporate purposes, including repayment of all or a portion of the amounts outstanding under the Company’s revolving credit facility and to pay related fees and expenses.

The Notes will not be registered under the Securities Act of 1933, as amended (the "Securities Act"), or under any state securities law, and may not be offered or sold in the United States absent registration or an applicable exemption from, or in a transaction not subject to, the registration requirements of the Securities Act and applicable state securities laws. The Notes are being offered only to persons reasonably believed to be qualified institutional buyers under Rule 144A and to non-U.S. persons outside the United States in compliance with Regulation S under the Securities Act.

Promotion of the Notes in the United Kingdom is restricted by the Financial Services and Markets Act 2000 (the “FSMA”), and accordingly, the Notes are not being promoted to the general public in the United Kingdom.
