San Francisco, California Dec 5, 2023 (Issuewire.com) - Iris Acquisition Corp (the "Company") received a written notice on November 27, 2023, from the Listing Qualifications Department (the "Staff") of The Nasdaq Stock Market LLC ("Nasdaq") notifying the Company that because it has not yet filed its Form 10-Q for the period ended September 30, 2023 (the "Filing"), it no longer complies with Listing Rule 5250(c)(1) (the "Rule") of Nasdaq's Listing Rules (the "Rules") for continued listing.

In accordance with the Rule, the Company has 60 calendar days to submit a plan to regain compliance and if Nasdaq accepts the Company's plan, Nasdaq can grant an exception of up to 180 calendar days from the Filing's due date, or until May 20, 2024, to regain compliance.

The Company intends to regain compliance with the Rule by filing its Form 10-Q as soon as possible.
