Item 8.01.              Other Events.

On May 31, 2007, ARTISTdirect, Inc. (the “Registrant”) exercised its right to extend the Forbearance Period, a defined term in the Forbearance and Consent Agreement dated April 17, 2007 (the “Agreement”), under the Agreement between the Registrant, U.S. Bank National Association, as Collateral Agent, JMB Capital Partners, L.P., JMG Capital Partners, L.P., JMG Triton Offshore Fund, Ltd., and CCM Master Qualified Fund, Ltd. (the “Agreement”) previously disclosed in a Current Report on Form 8-K filed by the Registrant on April 20, 2007.  Under the terms of the Agreement, the Forbearance Period was extended through June 30, 2007 in exchange for a cash payment of $125,000 by the Registrant.  The amount of such payment will be credited against the registration delay cash penalties or any other amounts ultimately determined to be due the senior lenders.
