Item 2.05 Costs Associated with Exit or Disposal Activities

On January 26, 2009, Electro Scientific Industries (the “Company”) committed to a restructuring plan to reduce its workforce by 84 employees. The Company made the decision to restructure because of the global recession and its impact on the markets the Company serves. The Company expects to complete this restructuring plan by April 30, 2009.

The Company expects to incur approximately $2.5 million in cash charges related to the restructuring plan, substantially all of which costs are expected to be recognized in the current fiscal quarter. Substantially all of these estimated costs are the result of severance and other workforce reduction costs.
