(NYSE: NYC) (“ASIC” or the “Company”) announced today that it has filed with the Securities and Exchange Commission (“SEC”) a Solicitation/Recommendation Statement on Schedule 14D-9 and Letter to Stockholders dated October 10, 2023, regarding the tender offer commenced by Bellevue Capital Partners, LLC (“Bellevue”) on September 27, 2023, to purchase up to 350,000 shares of the Company’s Class A common stock at a price of $10.25 per share (the “Tender Offer”). The Company’s board of directors has made no determination of the fairness of the Tender Offer or whether it is in the best interests of stockholders, makes no recommendation and is neutral as to whether stockholders should accept or reject the offer to tender their shares.
