Steel Partners Holdings LP Annual Meeting Results

On May 23, 2025, Steel Partners Holdings L.P. (OTCQX: SPLP) (the “Company”) held its 2025 Annual Meeting of Limited Partners (the “2025 Annual Meeting”). At the 2025 Annual Meeting, unitholders were asked to vote on five proposals.

The unitholders elected, by a plurality of the votes cast, each of the following independent directors to serve on the Board of Directors of Steel Partners Holdings GP Inc., the Company’s general partner, until the 2026 Annual Meeting of Limited Partners or until their successors are duly elected and qualified: James Benenson III, Eric P. Karros, John P. McNiff, Lon Rosen and Rory H. Tahari.

Additionally, the unitholders (i) approved, on a non-binding, advisory basis, the compensation of the Company’s named executive officers, (ii) approved on a non-binding, advisory basis, the frequency of every one year for future advisory votes on the compensation of our named executive officers and (iii) ratified the appointment of Deloitte & Touche LLP as the Company’s independent registered public accounting firm for the fiscal year ending December 31, 2025.

The unitholders also approved a proposal to amend the Company’s Tenth Amended and Restated Agreement of Limited Partnership (the “LPA”) to extend, for three years, the provision in the LPA designed to protect the tax benefits of the net operating loss carryforwards of the Company’s subsidiaries and portfolio companies.

Beginning with the quarterly report for the first quarter ended March 31, 2025, the Company began filing periodic and current reports with the OTC Markets Group Inc. (OTC) in compliance with its Alternative Reporting Standard: OTCQX U.S. and OTCQB Disclosure Guidelines (Alternative Reporting Standard).
