SMART Global Holdings Announces Proposed Public Offering of Ordinary Shares by Selling Shareholders

(“SGH” or the “Company”) (Nasdaq: SGH) today announced the launch of a proposed underwritten public offering of 3,000,000 of its ordinary shares by certain selling shareholders affiliated with Silver Lake (the “Selling Shareholders”). The Company is not selling any of its ordinary shares in the offering and will not receive any of the proceeds from the sale of its ordinary shares by the Selling Shareholders.

Morgan Stanley & Co. LLC is acting as sole underwriter for the proposed offering.

The offering is being made pursuant to an effective shelf registration statement on Form S-3 (File No. 333-227451), filed by the Company with the Securities and Exchange Commission (the “SEC”) on September 20, 2018.
