American Financial Group, Inc. Announces the Offering of $350 Million of Senior Notes

American Financial Group, Inc. (NYSE: AFG) announced today the registered offering of $350 million of 5.0% Senior Notes (the “Notes”) due September 23, 2035. The Notes were priced at 99.162% of their principal amount.

The Company intends to use the approximately $344 million of net proceeds from this offering for general corporate purposes, which may include repurchases of AFG’s outstanding common shares.

The closing of the offering of the Notes is expected to occur on September 23, 2025 and is subject to the satisfaction of customary closing conditions. BofA Securities, Inc., J.P. Morgan Securities LLC, and Wells Fargo Securities, LLC are acting as joint book-running managers for the offering. PNC Capital Markets LLC, Fifth Third Securities, Inc., MUFG Securities Americas Inc. and U.S. Bancorp Investments, Inc. are acting as co-managers for the offering.

The offering is being made pursuant to an effective shelf registration statement filed with the Securities and Exchange Commission ("SEC") on February 27, 2024.
