(OTCQB:CLSH)(CSE:CLSH), the ''Company'' or ''CLS'', a diversified cannabis company operating as Cannabis Life Sciences, today announced that it has amended the terms of $6,229,672 in principal amount, which includes capitalized interest, of its outstanding unsecured convertible debentures (the "U.S. Debentures") issued October 25, 2018 and October 31, 2018 by, among other things, (i) reducing the conversion price from $0.80 per unit to $0.30 per unit; and (ii) extending the maturity date of the U.S. Debentures by one year to four (4) years from the execution date of the U.S. Debentures. The exercise price of the warrants issuable upon conversion of the U.S. Debentures remains unchanged. The amendments also provide that the Company shall file a registration statement to register for resale all of the shares of common stock of the Company issuable to the holders of the debentures upon conversion of the debentures and the exercise of the warrants issuable upon conversion of the debentures.

In connection with the amendments to the debenture owned by Navy Capital Green Fund, LP, the Company also agreed that Navy Capital may appoint an observer to the Company's board of directors as long as it maintains certain share ownership requirements.
