With shareholder approval to issue additional shares of EDF’s common stock having been attained, Virtus Stone Harbor Emerging Markets Total Income Fund (NYSE: EDI) will be reorganized with and into EDF on or about August 4. The surviving fund will continue to be known as Virtus Stone Harbor Emerging Markets Income Fund and will retain the EDF ticker symbol. The transaction is expected to qualify as a tax-free reorganization for federal income tax purposes and will be effected at each fund’s respective net asset value (NAV) at the time of the reorganization.

About the Fund

Virtus Stone Harbor Emerging Markets Income Fund (EDF) is a non-diversified, closed-end management investment company managed by Stone Harbor Investment Partners, which is a division of Virtus Fixed Income Advisers, LLC. The Fund’s investment objective is to maximize total return, which consists of income on its investments and capital appreciation. The Fund normally will invest at least 80% of its net assets (plus any borrowings for investment purposes) in emerging markets securities, including fixed income securities and other instruments (including derivatives) that are economically tied to emerging market countries, that are denominated in the predominant currency of the local market of an emerging market country or whose performance is linked to those countries’ markets, currencies, economies or ability to repay loans.
