On April 15, 2025, the Audit Committee of the Board of Directors of the Company (the “Audit Committee”) approved the election and appointment of Grant Thornton LLP as its new auditor.

Then, on July 14, 2025, after market, Simulations Plus reported its third quarter 2025 financial results which included a “one-time non-cash impairment charge of $77.2 million.”  The following day, before the market opened, the Company reported that the Audit Committee had “approved the dismissal of Grant Thornton LLP as the Company’s independent public accounting firm,” less than three months after announcing their appointment.

Following this news, the price of Simulation Plus stock declined $4.50 per share, nearly 26%, to close at $12.97 per share on July 15, 2025.
