Willdan Group, Inc. (โWilldanโ) (Nasdaq: WLDN), a provider of professional, technical and consulting services, today reported financial results for its third quarter ended September 30, 2022.

โWilldan continued to build momentum in the third quarter with contract revenue up 23.5% and net revenue up 8.2% over the third quarter last year,โ said Tom Brisbin, Willdanโs Chairman and Chief Executive Officer. โOur construction management, civil engineering, and energy consulting businesses delivered top-line growth above our expectations as we continue to capitalize on the shift in energy demand to electrification.โ
Third Quarter 2022 Financial Results
Consolidated contract revenue increased $23.1 million, or 23.5%, in the three months ended September 30, 2022, compared to the three months ended October 1, 2021.
Net Revenue increased 8.2% to $58.9 million from $54.5 million for the third quarter of 2021 (see โUse of Non-GAAP Financial Measuresโ below) due to the changes as described above.
General and administrative (โG&Aโ) expenses increased by $1.6 million, or 4.3%, in the three months ended September 30, 2022 compared to the three months ended October 1, 2021.
Income tax benefit was $1.5 million for the three months ended September 30, 2022, compared to a tax benefit of $0.2 million for the three months ended October 1, 2021.
Net Income for the third quarter of 2022 was $0.1 million, or $0.01 per diluted share, as compared to net income of $0.8 million, or $0.06 per diluted share, for the third quarter of 2021. Adjusted Net Income (see โUse of Non-GAAP Financial Measuresโ below) for the third quarter of 2022 was $5.6 million, or $0.42 per diluted share, as compared to Adjusted Net Income of $6.9 million, or $0.53 per diluted share, for the third quarter of 2021.
Adjusted EBITDA (see โUse of Non-GAAP Financial Measuresโ below) was $8.0 million for the third quarter of 2022, compared to $10.1 million for the third quarter of 2021.
Nine Months 2022 Financial Results
Consolidated contract revenue increased $54.3 million, or 20.8%, in the nine months ended September 30, 2022, compared to the nine months ended October 1, 2021.
Net Revenue for the nine months ended September 30, 2022 was $162.0 million, an increase of 8.2% from $149.7 million for the nine months ended October 1, 2021 (see โUse of Non-GAAP Financial Measuresโ below), due to changes as described above.
G&A expenses increased $1.2 million, or 1.1%, in the nine months ended September 30, 2022, compared to the nine months ended October 1, 2021.
Income tax benefit was $5.6 million for the nine months ended September 30, 2022 compared to a tax benefit of $5.4 million for the nine months ended October 1, 2021.
Net loss for the nine months ended September 30, 2022 was $8.0 million, or $(0.62) per diluted share, as compared to a net loss of $7.5 million, or $(0.61) per diluted share, for the prior year period. Adjusted Net Income (see โUse of Non-GAAP Financial Measuresโ below) for the nine months ended September 30, 2022 was $6.7 million, or $0.51 per diluted share, as compared to Adjusted Net Income of $12.2 million, or $0.99 per diluted share, for the nine months ended October 1, 2021.
Adjusted EBITDA (see โUse of Non-GAAP Financial Measuresโ below) was $11.5 million for the nine months ended September 30, 2022, compared to $18.1 million for the prior year period.
Liquidity and Capital Resources
As of September 30, 2022, cash and cash equivalents totaled $8.8 million. Cash flows provided by operating activities were $4.5 million for nine months ended September 30, 2022, as compared to cash flows used in operating activities of $1.7 million for nine months ended October 1, 2021. Cash flows provided by in operating activities for the nine months ended September 30, 2022, were favorably impacted by lower net working capital requirements.
As of September 30, 2022, there was $109.3 million outstanding under our term loan credit facilities and we had no borrowings under our $50.0 million revolving credit facility. On November 1, 2022, we entered into a new amendment to our credit agreement which, among other things, amended our aggregate borrowing capacity under our revolving credit facility to $10.0 million at any time during the period from November 1, 2022 through the date on which financial statements and compliance documents have been received by the Administrative Agent (as defined in the credit agreement) for the fiscal quarter ending March 31, 2023 and conditioned our access to the accordion feature of the credit agreement to periods when our Total Leverage Ratio (as defined in the credit agreement) is less than 3.0.
Full Year 2022 Financial Targets
The Company re-affirms financial targets as follows:
- Net revenue* growth of at least 10%
- Adjusted EBITDA* margin (as percent of net revenue) of at least 10%

Use of Non-GAAP Financial Measures
โNet Revenue,โ defined as contract revenue as reported in accordance with GAAP minus subcontractor services and other direct costs, is a non-GAAP financial measure, Net Revenue is a supplemental measure that Willdan believes enhances investorsโ ability to analyze Willdanโs business trends and performance because it substantially measures the work performed by Willdanโs employees. In the course of providing services, Willdan routinely subcontracts various services. Generally, these subcontractor services and other direct costs are passed through to Willdanโs clients and, in accordance with U.S. generally accepted accounting principles (โGAAPโ) and industry practice, are included in Willdanโs revenue when it is Willdanโs contractual responsibility to procure or manage such subcontracted activities. Because subcontractor services and other direct costs can vary significantly from project to project and period to period, changes in revenue may not necessarily be indicative of Willdanโs business trends. Accordingly, Willdan segregates subcontractor services and other direct costs from revenue to promote a better understanding of Willdanโs business by evaluating revenue exclusive of subcontract services and other direct costs associated with external service providers. A reconciliation of Willdanโs contract revenue as reported in accordance with GAAP to Net Revenue is provided at the end of this press release. A reconciliation of targeted contract revenue for 2022 as reported in accordance with GAAP to targeted Net Revenues for fiscal 2022, which is a forward-looking non-GAAP financial measure, is not provided because Willdan is unable to provide such reconciliation without unreasonable effort. The inability to provide a reconciliation is due to the uncertainty and inherent difficulty of predicting the subcontractor services and other director costs that are subtracted from contract revenues in order to derive Net Revenues. While subcontractor costs have increased recently, subcontractor costs can vary significantly from period to period. Subcontractor costs and other direct costs were 51.4% and 43.0% of contract revenue for the quarter ended September 30, 2022 and fiscal year 2021 and 44.6% and 50.2% for the quarter ended October 1, 2021 and fiscal year 2020, respectively.
โAdjusted EBITDA,โ defined as net income plus interest expense, income tax expense, stock-based compensation, interest accretion, depreciation and amortization, transaction costs, gain on sale of equipment, and tax benefit distribution, is a non-GAAP financial measure. Adjusted EBITDA is a supplemental measure used by Willdanโs management to measure Willdanโs operating performance. Willdan believes Adjusted EBITDA is useful because it allows Willdanโs management to evaluate its operating performance and compare the results of its operations from period to period and against its peers without regard to its financing methods, capital structure and non-operating expenses. Willdan uses Adjusted EBITDA to evaluate its performance for, among other things, budgeting, forecasting and incentive compensation purposes.
Certain items excluded from Adjusted EBITDA are significant components in understanding and assessing a companyโs financial performance, such as a companyโs costs of capital, stock-based compensation, as well as the historical costs of depreciable assets. A reconciliation of net income as reported in accordance with GAAP to Adjusted EBITDA is provided at the end of this press release.
โAdjusted Net Income,โ defined as net income plus stock-based compensation, intangible amortization, interest accretion transaction costs, deferred tax valuation, and tax benefit distribution, each net of tax, is a non-GAAP financial measure.
โAdjusted Diluted EPS,โ defined as net income plus stock-based compensation, intangible amortization, interest accretion, transaction costs, deferred tax valuation, and tax benefit distribution, each net of tax, all divided by the diluted weighted-average shares outstanding, is a non-GAAP financial measure.
