Working Capital Working capital estimations are inherently uncertain, exacerbated by current market volatility. We estimate a working capital inflow of ~$4 billion for the quarter.
Other Considerations
The Q4โ€™22 earnings impact of recently announced additional taxes in the EU (the solidarity contribution) and the deferred tax impact from the increased UK Energy Profits Levy is expected to be around $2 billion. These impacts will be reported as identified items and therefore will not impact Q4โ€™22 Adjusted Earnings and will have limited cash impact in Q4โ€™22 given the expected timing of payments.

These risk factors also expressly qualify all forward-looking statements contained in this announcement and should be considered by the reader.ย  Each forward-looking statement speaks only as of the date of this announcement, January 6, 2023. Neither Shell plc nor any of its subsidiaries undertake any obligation to publicly update or revise any forward-looking statement as a result of new information, future events or other information. In light of these risks, results could differ materially from those stated, implied or inferred from the forward-looking statements contained in this announcement.

Shellโ€™s net carbon footprint

Also, in this announcement we may refer to Shellโ€™s โ€œNet Carbon Footprintโ€ or โ€œNet Carbon Intensityโ€, which include Shellโ€™s carbon emissions from the production of our energy products, our suppliersโ€™ carbon emissions in supplying energy for that production and our customersโ€™ carbon emissions associated with their use of the energy products we sell. Shell only controls its own emissions. The use of the term Shellโ€™s โ€œNet Carbon Footprintโ€ or โ€œNet Carbon Intensityโ€ are for convenience only and not intended to suggest these emissions are those of Shell plc or its subsidiaries.

Shellโ€™s net-Zero Emissions Target

Shellโ€™s operating plan, outlook and budgets are forecasted for a ten-year period and are updated every year.ย  They reflect the current economic environment and what we can reasonably expect to see over the next ten years. Accordingly, they reflect our Scope 1, Scope 2 and Net Carbon Footprint (NCF) targets over the next ten years.ย  However, Shellโ€™s operating plans cannot reflect our 2050 net-zero emissions target and 2035 NCF target, as these targets are currently outside our planning period. In the future, as society moves towards net-zero emissions, we expect Shellโ€™s operating plans to reflect this movement. However, if society is not net zero in 2050, as of today, there would be significant risk that Shell may not meet this target.

Forward Looking Non-GAAP measures

This announcement may contain certain forward-looking non-GAAP measures such asย  IFRS, including Adjusted Earnings, โ€œAdjusted EBITDAโ€, Cash flow from operating activities excluding working capital movements, Cash capital expenditure, Net debt and Underlying opex.

Adjusted Earnings and Adjusted EBITDA are measures used to evaluate Shellโ€™s performance in the period and over time.
The โ€œAdjusted Earningsโ€ and Adjusted EBITDA are measures which aim to facilitate a comparative understanding of Shellโ€™s financial performance from period to period by removing the effects of oil price changes on inventory carrying amounts and removing the effects of identified items.
Adjusted Earnings is defined as income/(loss) attributable to shareholders adjusted for the current cost of supplies and excluding identified items. โ€œAdjusted EBITDA (CCS basis)โ€ is defined as โ€œIncome/(loss) for the periodโ€ adjusted for current cost of supplies; identified items; tax charge/(credit); depreciation, amortisation and depletion; exploration well write-offs and net interest expense. All items include the non-controlling interest component.
Cash flow from operating activities excluding working capital movements is a measure used by Shell to analyse its operating cash generation over time excluding the timing effects of changes in inventories and operating receivables and payables from period to period. Working capital movements are defined as the sum of the following items in the Consolidated Statement of Cash Flows: (i) (increase)/decrease in inventories, (ii) (increase)/decrease in current receivables, and (iii) increase/(decrease) in current payables. Cash capital expenditure is the sum of the following lines from the Consolidated Statement of Cash flows: Capital expenditure, Investments in joint ventures and associates and Investments in equity securities. Net debt is defined as the sum of current and non-current debt, less cash and cash equivalents, adjusted for the fair value of derivative financial instruments used to hedge foreign exchange and interest rate risks relating to debt, and associated collateral balances. Underlying operating expenses is a measure of Shellโ€™s cost management performance and aimed at facilitating a comparative understanding of performance from period to period by removing the effects of identified items, which, either individually or collectively, can cause volatility, in some cases driven by external factors. Underlying operating expenses comprises the following items from the Consolidated statement of Income: production and manufacturing expenses; selling, distribution and administrative expenses; and research and development expenses and removes the effects of identified items such as redundancy and restructuring charges or reversals, provisions or reversals and others.

We are unable to provide a reconciliation of these forward-looking Non-GAAP measures to the most comparable GAAP financial measures because certain information needed to reconcile those Non-GAAP measures to the most comparable GAAP financial measures is dependent on future events some of which are outside the control of Shell, such as oil and gas prices, interest rates and exchange rates. Moreover, estimating such GAAP measures with the required precision necessary to provide a meaningful reconciliation is extremely difficult and could not be accomplished without unreasonable effort. Non-GAAP measures in respect of future periods which cannot be reconciled to the most comparable GAAP financial measure are calculated in a manner which is consistent with the accounting policies applied in Shell plcโ€™s consolidated financial statements.
