(NASDAQ: OB) (โOutbrainโ), a leading technology platform that drives business results by engaging people across the Open Internet, announced today that, at its special meeting of shareholders (the โSpecial Meetingโ) held earlier today, Outbrain shareholders voted to approve the issuance of 35 million shares of common stock and 10.5 million Series A Convertible Preferred Shares, which are convertible into common stock, in connection with the acquisition of Teads S.A. (the โShare Issuance Proposalโ). The transaction remains subject to customary closing conditions, including regulatory approvals, and is expected to close during the first quarter of 2025.
