Western Asset High Income Fund II Inc. (the “Fund”) (NYSE: HIX) announced today the results of the votes cast at the Fund’s annual meeting of stockholders held on September 19, 2025.

Stockholders approved the proposal to amend the charter of the Fund to increase the total number of authorized shares of capital stock from 100,000,000 shares to 200,000,000 shares.

Carol L. Colman, Peter Mason and Jane Trust were elected as Class III Directors of the Fund by holders of record of the Fund’s outstanding shares of common stock to hold office until the annual meeting of shareholders in the year 2028, or until their respective successors have been duly elected and qualified, or until they resign or are otherwise removed.

In addition, the stockholders voted to ratify the selection of PricewaterhouseCoopers LLP as independent registered public accountants of the Fund for the fiscal year ending April 30, 2026.
