Shares of security and healthcare technology company OSI Systems (NASDAQ: OSIS) fell 4.2% in the morning session after it announced plans for a private offering of $400 million in convertible senior notes due in 2031. 

This type of financing is a form of debt that can be converted into company stock in the future. The potential for an increase in the number of shares can dilute the ownership stake of current shareholders, which often prompts a negative market reaction. What Is The Market Telling Us
