The offering consists of 20,000,000 shares of Common Stock being offered by certain selling stockholders. The selling stockholders also expect to grant the underwriters a 30-day option to purchase up to an additional 3,000,000 shares of Common Stock. No shares are being sold by Karman in the offering and Karman will not receive any proceeds from the offering. The selling stockholders will receive all of the proceeds from the offering.
