Supported by a global presence spanning more than 50 offices and a network of over 320 partners, SGI intends to advance this strategy through a scalable, sustainable, and auditable business model designed to support long-term international growth.

SGI has established clearly defined roles across its global operations. The U.S. headquarters serves as the Group’s technology and capital markets hub, overseeing corporate structure, equity management, intellectual property, global finance, and capital markets activities.

Korea serves as a key growth engine for SGI’s expansion in Asia, with a focus on refining the business model, expanding the customer and user base, accelerating commercialization, and developing sustainable sources of revenue.

Six core business areas form the foundation of SGI’s long-term growth strategy: information technology R&D, strategic technology investment, AI-powered digital products, aerospace technology investment, digital healthcare, and an AI-powered data analytics and decision-support platform.

Japan and other international markets are expected to serve as additional growth engines, allowing SGI to replicate proven business models and expand its international operations with the support of its broader network of industry and strategic partners.

Nasdaq comprises three market tiers, each with distinct listing requirements. In addition to financial qualifications, factors such as corporate governance, internal controls, the integrity and sustainability of business operations, and transparent and auditable financial reporting are important considerations in the listing process.

SGI’s objective is not simply to meet minimum listing requirements. The Group intends to build a stronger operating and financial foundation and evaluate the most appropriate capital markets pathway based on its future business performance, organizational readiness, market conditions, and applicable regulatory requirements.

2025–2026 | Building the Foundation: Strengthening Compliance and Governance

During the first phase, SGI will prioritize the development of its corporate, financial, and compliance infrastructure rather than pursuing rapid user growth.

The U.S. headquarters will identify and establish the appropriate potential listing entity, streamline the Group’s equity structure, consolidate and clarify ownership of intellectual property and patented technologies, and establish a unified and traceable global financial reporting framework.

In Korea, SGI will strengthen its professional operating and management systems, establish independent financial accounting capabilities, and implement legal compliance and revenue-tracking procedures.

Across its global offices and partner network, the Group will organize and standardize business records, formalize external cooperation procedures, and maintain comprehensive contracts, transaction records, and supporting business documentation.

These initiatives are intended to establish the financial transparency, operational consistency, and documentation standards required to support future audits and capital markets readiness.

2026–2027 | Commercial Validation: Shifting to Value-Driven Growth

During the second phase, SGI’s operating focus will shift from user acquisition toward sustainable revenue, profitability, and cash flow.

Key performance indicators will include active users, paying customers, customer retention, regional revenue, gross margins, and operating cash flow.

The Group also plans to progressively align its financial and operational reporting practices with standards expected of public companies.

The primary objective of this phase will be to demonstrate the commercial viability and long-term sustainability of SGI’s six core business areas while establishing measurable evidence of the Group’s ability to convert technology, products, and market reach into sustainable business performance.

2027–2028 | Global Scaling: Demonstrating a Replicable Business Model

Once the Korean market has demonstrated a sustainable and profitable business model, SGI plans to expand proven operating practices into Japan and other international markets.

Local offices and partner networks will play an important role in connecting SGI with regional customers, industry resources, technology partners, and market opportunities.

Through this process, the Group intends to strengthen its position as a global technology company with a scalable and replicable business model.

As the business expands, SGI expects the quality of revenue, gross margins, cash flow, and addressable market opportunities to become increasingly important indicators of enterprise value.

The Group’s international network of strategic and industry partners is also expected to become an increasingly important asset, supporting market entry, commercialization, technology collaboration, and long-term international growth.

2028–2029 | IPO Readiness and Compliance Review

In preparation for potential U.S. capital markets activity, the Group intends to review its financial reporting and audit processes with reference to applicable U.S. public-company and PCAOB-related requirements.

Key priorities will include verifying financial data across global operations, ensuring clear classification of operating revenue and other fund flows, reviewing related-party transactions for compliance with applicable requirements, and assessing operating qualifications across relevant jurisdictions.

SGI also plans to verify intellectual property ownership and patent rights and further standardize Group-wide financial management, approval procedures, internal controls, and audit processes.

The objective of this phase is to identify and address potential regulatory, accounting, governance, and operational issues before entering a formal IPO process.

2029–2030 | IPO Preparation and Execution

Subject to the Group’s financial performance, organizational readiness, regulatory requirements, and prevailing market conditions, SGI intends to evaluate and pursue the appropriate pathway toward a potential Nasdaq listing.

At this stage, the Group expects to engage qualified investment banks, legal counsel, accounting professionals, and PCAOB-registered audit firms as appropriate to support corporate governance enhancement, comprehensive due diligence, financial audits, SEC registration and filing procedures, investor engagement, and potential offering preparation.
