Each Unit consists of one common share (a "Share") priced at CA$0.034 per share, and one full share purchase warrant (a "Warrant"). Each Full Warrant will entitle the holder to purchase a Common share at a price of CA$0.055 per share for a period of 24 months from the closing date (the "Warrant Term").

The Company intends to use the net proceeds of the Private placement for working capital and for general purposes.
