(Nasdaq: CDNA)- The Transplant Companyโข โ a leading precision medicine company focused on the discovery, development, and commercialization of clinically differentiated, high-value healthcare solutions for transplant patients and caregivers โ today announced that, on September 12, 2024, CareDx granted an option to purchase 100,651 shares of CareDxโs common stock (the โKennedy Inducement Optionโ) and 70,101 restricted stock units (the โKennedy Inducement RSUsโ) to Keith S. Kennedy, CareDxโs newly appointed Chief Operating Officer, and granted an option to purchase 75,488 shares of CareDxโs common stock (the โMeng Inducement Optionโ and, together with the Kennedy Inducement Option, the โInducement Optionsโ) and 52,576 restricted stock units (the โMeng Inducement RSUsโ and, together with the Kennedy Inducement RSUs, the โInducement RSUsโ) to Jessica Meng, CareDxโs newly appointed Chief Commercial Officer. The Inducement Options and the Inducement RSUs were approved by the Compensation and Human Capital Committee of CareDxโs board of directors on September 6, 2024 and were an inducement material to Mr. Kennedyโs and Ms. Mengโs respective employment with CareDx in accordance with Nasdaq Listing Rule 5635(c)(4).
The Inducement Options has an exercise price of $29.43 and will vest over four years, with 25% of the total number of shares subject to the Inducement Options vesting on September 12, 2025, the one-year anniversary of the date of commencement of Kennedyโs and Mengโs employment with CareDx, and 1/48th of the total number of shares subject to the Inducement Options vesting at the end of each calendar month thereafter, subject in each case to Kennedyโs and Mengโs respective continued services with CareDx on each vesting date. The Inducement RSUs will vest in four equal, annual installments beginning on September 12, 2025, the one-year anniversary of the date of commencement of Kennedyโs and Mengโs employment with CareDx, subject in each case to Kennedyโs and Mengโs respective continued services with CareDx on each vesting date.
