Beech Tree, holding détenant directement et indirectement la participation dans Ipsen de Monsieur Henri Beaufour, décédé le 28 novembre 2025, a appris que, conformément à ses volontés, l'intégralité de ses actions serait transmise à Fondation Alasol, une fondation d'utilité publique créée par Henri Beaufour et œuvrant en faveur de l'éducation et de la formation scolaire et professionnelle d'enfants et de jeunes adultes défavorisés.
Le transfert des actions Beech Tree est envisagé pour le début de l'année 2026, après obtention d'autorisations réglementaires usuelles, notamment auprès de l'Autorité des Marchés Financiers et du Ministère de la Justice luxembourgeois.
Ce transfert est sans effet sur le pacte d'actionnaires conclu entre Beech Tree et Highrock.

Beech Tree, holding company owning directly and indirectly the stake in Ipsen shares of Mr. Henri Beaufour, who passed away on November 28, 2025, has been informed that, in accordance with his wishes all of its shares will be transferred to Fondation Alasol, a public interest foundation created by Henri Beaufour the purpose of which is to promote education and school and vocational training for disadvantaged children and young adults.
The transfer of the Beech Tree shares is expected to take place in early 2026, after having obtained usual regulatory approvals, in particular from the Autorité des Marchés Financiers (AMF) and the Luxembourg Ministry of Justice.
This transfer has no effect on the existing shareholders' agreement between Beech Tree and Highrock.
