CWAN Announces $100 Million Share Repurchase Program

Clearwater Analytics (NYSE: CWAN) (“CWAN” or “Company”), the most comprehensive technology platform for investment management, today announced that its Board of Directors has authorized a $100 million share repurchase program.

At yesterday’s closing price of $20.19, the $100 million share repurchase program would result in the buyback of approximately 5 million shares. This would partially offset the dilutive impact of recent share issuances and reduce the Company’s public float.

“The Company remains committed to reducing its debt-to-EBITDA ratio below 3.0 by December 2026,” said Jim Cox, Chief Financial Officer at CWAN. “Given our significant excess free cash flows for the remainder of 2025 and 2026, we expect to both exceed our deleveraging commitment and complete this share repurchase at the same time.”

The Company intends to execute the repurchase program by buying its Class A common stock from time to time in the open market, including potentially pursuant to a 10B5-1 plan. The timing and price of repurchases as well as the actual number of shares repurchased under the program will be at the discretion of CWAN and will depend on a variety of factors, including general market conditions, the stock price, regulatory requirements and limitations, corporate liquidity requirements and priorities, and other factors.
